Terms and Conditions

Effective Date: September 1, 2023

Overview

Glassity OÜ operates https://glassity.cloud and provides cloud management services. Agreement becomes effective when users click "I Agree," register, or first access the platform.

Key Definitions

• Platform: Glassity's SaaS cloud management app for analyzing AWS usage and identifying cost savings
• Customer Data: Information provided by users for service use, excluding usage metrics
• Cost Saving: Net cost reduction from implementing Glassity optimization recommendations
• AWS Resources: Customer's Amazon Web Services accounts and environments
• Usage Data: Information collected about platform usage patterns and user interactions

Payment and Billing

• Monthly billing cycles
• Autopilot: 10% of the Cost Reduction resulting from Autopilot Optimizations
• FinOps Manager: Subscription costs only
• Success fees are non-refundable
• Payment provider: Stripe, Inc.
• Invoices due within 30 days
• Glassity may modify fees with 90 days' written notice
• Services may suspend if payments exceed 30 days overdue

Intellectual Property

The Glassity Platform, Content and Documentation are the exclusive property of Glassity and its suppliers. Users own data generated through their AWS accounts but receive only limited licenses for service use.

Termination

• Autopilot services: 30-day notice required
• Other platform services: No notice period unless separately agreed
• Users can cancel Autopilot anytime through the platform

Governing Law

Governed by the laws of the Republic of Estonia with exclusive jurisdiction in Estonian courts.

Credits (Annex A)

• Maximum credits equal 100% of monthly Glassity fees ("Monthly Credit Cap")
• Credits don't carry over to subsequent months
• Unused AWS Reserved Instances or Savings Plans must be procured from Glassity
• Must have at least one-month remaining duration and operational for minimum 30 days
